Terms of Service

Effective May 1, 2026

These Terms of Service govern access to and use of the liquidAPTS website, product access flow, previews, downloads, documentation, support surfaces, business software, AI-assisted features, and related services.

By using the Services, you agree to these Terms. If a separate signed agreement, order form, subscription agreement, data processing agreement, or product-specific term applies, that document controls where it conflicts with these Terms.

Legal notices, privacy requests, support escalation requests, and questions about these Terms can be sent to [email protected]. Notices from liquidAPTS may be provided through the website, product interface, email, account notice, invoice, or another reasonable communication method.

If a separate signed agreement, order form, or product-specific document lists a different notice process, that process controls for the covered product or service.

Order Of Precedence

These Terms apply to the public website, product access flow, previews, downloads, documentation, support surfaces, business software, AI-assisted features, and related services provided by liquidAPTS.

If a signed agreement, order form, data processing agreement, business associate agreement, security addendum, subscription agreement, app-store term, or product-specific term conflicts with these Terms, the more specific written document controls for the covered product or service.

Using The Services

You may use the Services only if you can form a binding agreement and will comply with these Terms, applicable laws, and any product-specific documentation or written agreement that applies to your use.

If you use the Services on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms.

Accounts And Access

Some products, downloads, previews, or business workflows may require approval, credentials, an invitation, or a separate agreement. You are responsible for keeping account credentials confidential and for activity under accounts or access tokens issued to you or your organization.

liquidAPTS may refuse, suspend, limit, or revoke access when needed to protect the Services, users, customers, systems, or business operations.

Privacy And Data Protection

Use of the Services is also governed by the liquidAPTS Privacy Policy. Customers are responsible for providing legally required notices, consents, permissions, and instructions for personal information or customer content they submit to a liquidAPTS product deployment.

Where required for a specific customer deployment, liquidAPTS and the customer may enter into additional data processing, security, confidentiality, or regulated-data terms.

Acceptable Use

  • Do not misuse, disrupt, overload, reverse engineer, scrape, probe, or interfere with the Services or their security controls.
  • Do not upload or submit unlawful, infringing, deceptive, harmful, or malicious content.
  • Do not use the Services to violate privacy rights, intellectual property rights, export rules, sanctions rules, or other applicable laws.
  • Do not submit sensitive regulated data through public forms unless liquidAPTS has provided a written workflow intended for that data.

Regulated Workflows

Some liquidAPTS products may support association, payment, financial, operational, or other regulated workflows. The Services are not a substitute for professional judgment, legal advice, financial advice, emergency services, or compliance review.

Customers and users are responsible for validating workflow configuration, reviewing outputs, maintaining required records, obtaining required permissions, and complying with laws that apply to their industry, users, customers, employees, and data.

Do not use any product for emergency services or time-critical safety decisions unless a separate written agreement expressly states that the product is designed and approved for that use.

Customer Content

You retain ownership of content, data, files, requests, messages, and materials you submit to the Services. You grant liquidAPTS the rights needed to host, process, transmit, display, troubleshoot, secure, and support that content for the purpose of operating and improving the Services.

You are responsible for ensuring that you have the rights and permissions needed to submit customer content and to authorize liquidAPTS to process it as described in these Terms and any applicable agreement.

liquidAPTS may remove, restrict, or disable access to customer content if we reasonably believe it violates these Terms, creates risk, infringes rights, is unlawful, or may harm the Services, users, customers, systems, or business operations.

AI Features

Some liquidAPTS products or workflows may include AI-assisted features. AI output may be incomplete, incorrect, or unsuitable for a particular use without human review. You are responsible for reviewing output before relying on it for business, medical, legal, financial, operational, or other important decisions.

liquidAPTS may update, limit, or disable AI-assisted features as models, vendors, safety practices, or product requirements change.

Unless a separate written agreement says otherwise, AI-assisted features are provided to support workflows and do not create professional, fiduciary, medical, legal, financial, or compliance advice.

Beta And Preview Features

liquidAPTS may offer beta, preview, experimental, early access, pilot, or evaluation features. These features may be incomplete, changed, suspended, or discontinued at any time and may have lower support, reliability, security, availability, or compatibility commitments than generally available features.

Do not use beta or preview features with production-critical workflows unless liquidAPTS has approved that use in writing.

Product Changes

liquidAPTS may change, improve, suspend, or discontinue parts of the Services, including pages, product access flows, downloads, integrations, features, documentation, and preview experiences. We will try to communicate material changes when practical.

Fees, Renewals, And Refunds

If you purchase or subscribe to a liquidAPTS product or service, pricing, payment terms, renewal terms, cancellation rights, taxes, usage limits, AI credit limits, and support commitments may be described in a separate quote, order form, invoice, app-store listing, subscription flow, or written agreement.

Unless a specific order or applicable law says otherwise, fees are due when stated, taxes are your responsibility, paid fees are non-refundable, and subscriptions or recurring services renew for the term stated in the applicable order, subscription flow, or invoice.

You must cancel a recurring paid service before the renewal date to avoid the next charge, unless the applicable order, app store, or law provides a different cancellation rule.

Payment Providers And App Stores

Payments may be handled by third-party payment processors, app stores, banks, or billing providers. Those providers may apply their own terms, privacy notices, refund rules, payment rules, taxes, and dispute processes.

If you obtain a liquidAPTS app through an app store or platform, the platform's terms may also apply. Platform providers are not responsible for liquidAPTS support unless their own terms say otherwise.

Intellectual Property

The Services, including the liquidAPTS brand, product names, software, designs, interfaces, documentation, text, graphics, and related materials, are owned by liquidAPTS or its licensors and are protected by intellectual property laws.

These Terms do not grant you ownership of the Services or permission to use liquidAPTS trademarks, logos, or branding except as expressly allowed in writing.

Feedback

If you send suggestions, ideas, feature requests, bug reports, comments, or other feedback, liquidAPTS may use that feedback without restriction or compensation to you, unless a separate written agreement says otherwise.

Confidentiality

If liquidAPTS or a customer shares non-public business, technical, product, pricing, security, roadmap, or operational information that a reasonable person would understand to be confidential, the receiving party should use it only for the relationship and protect it with reasonable care.

Separate confidentiality, employment, contractor, customer, or partner agreements may provide more specific confidentiality obligations.

Third-Party Services

The Services may link to or integrate with third-party platforms, infrastructure, app stores, cloud providers, payment providers, communication tools, AI providers, or customer-selected systems. Third-party services are governed by their own terms and policies, and liquidAPTS is not responsible for third-party services outside its control.

Disclaimers

The Services are provided on an as-is and as-available basis unless a separate written agreement states otherwise. To the maximum extent permitted by law, liquidAPTS disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, security, compatibility, and error-free operation.

liquidAPTS does not guarantee that the Services, AI outputs, integrations, files, recommendations, routes, notifications, or workflows will be uninterrupted, accurate, complete, secure, compliant for your use case, or free from data loss.

Limitation Of Liability

To the maximum extent permitted by law, liquidAPTS will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or replacement services.

To the maximum extent permitted by law, liquidAPTS' total liability for claims related to the Services is limited to the amount you paid liquidAPTS for the Service giving rise to the claim during the three months before the event giving rise to liability, or USD $100 if no amount was paid.

Indemnity

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless liquidAPTS from claims, damages, losses, liabilities, costs, and expenses arising from your customer content, your use of the Services, your violation of these Terms, your violation of law, or your infringement or misuse of third-party rights.

Termination

You may stop using the Services at any time. liquidAPTS may suspend or terminate access if you violate these Terms, create risk, fail to pay amounts due, or use the Services in a way that may harm users, customers, systems, or business operations.

After termination, provisions that by their nature should survive will continue to apply, including payment obligations, ownership terms, confidentiality, disclaimers, limitations of liability, indemnity, dispute terms, and any rights needed for liquidAPTS to maintain records or complete lawful wind-down activities.

Governing Terms

These Terms are governed by the laws that apply to the relevant product agreement, order form, or customer relationship. If no separate written agreement applies, disputes will be handled under the laws applicable to liquidAPTS' principal place of business, without regard to conflict-of-law rules.

If any part of these Terms is found unenforceable, the remaining terms will continue to apply. liquidAPTS may update these Terms from time to time, and the effective date will show when the latest version applies.
